History

Our firm has a long history and tradition. It was founded on October 1, 1949 within the scope of the department of research and development of Československé textilní závody n.p. /Czechoslovak Textile Enterprises/. On the basis of the authorization granted to him by the Minister of Light Industry, the general director of Československé textilní závody set up Výzkumný ústav vlnařský a pletařský /Wool and Knitting Research Institute/ in Brno by his action of January 25, 1951 as an autonomous organizational and economic unit as of January 1, 1951. Pursuant to the decision of the Ministry of Light Industry of February 21, 1952, Výzkumný ústav pletařský /Knitting Research Institute/ was established in Brno as an institution of the state administration with effect from January 1, 1952. The institute’s business line:

  •  Research in utilization of domestic raw materials and new synthetic fibres in knitting industry, particularly those materials that had not been used in knitting industry yet.
  • Improvements in the existing knitting machines by means of mechanization, automation and semi-automation.
  • Research in the field of new machines for continuous production in knitting industry, particularly for production of nonwoven fabrics.
  • Improvement of technological procedures and new technological solutions.
  • Provision of technical services for production plants.

 On the basis of the decision of the Minister of Consumer Goods Industry, the Výzkumný ústav pletařský enterprise was established in Brno on April 1,1958 and it was subordinated to the Písek-based Association of the Knitting Industry Enterprises from the same date. On the basis of the decision of the Ministry of Consumer Goods Industry of May 22, 1967 the VÚP’s business line was modified with effect from June 1,1967 as follows:

  • Research and development of knitting, lace-making and ribbon-making techniques and technologies incl. nonwoven textiles and medical products, research and development of application of new textile raw materials, particularly synthetic materials, sale of medical products and products made when solving the research tasks.

On the basis of the decision of the Minister of Industry, the business line of the state economic organization Výzkumný ústav pletařský in Brno was extended with effect from January 1, 1985 as follows:

  • Provision of information and technical services in the fields of technologies and techniques, testing, computational techniques, including pattern making.
  • Publishing activities of informative character concerning the development of techniques and technologies of knitting including the preceding and following production stages.

Pursuant to the State Owned Enterprise Act and on the basis of the decision of the Minister of Industry, VÚP Brno changed into a state-owned enterprise on July 1, 1989 and was separated from the Pletařský průmysl Písek /Knitting Industry Písek/ productive-economic unit and became directly subordinated to the Ministry of Industry of the CSR as an autonomous economic organization. Basic business line of VÚP s.p.:

  • Research, development, production and sale of knitting, lace-making and ribbon-making technologies and techniques, including nonwoven textiles and medical products.
  • Research and development of textile raw materials and their use.
  • Sale of products made when solving research tasks.
  • Production and sales of semi-finished and finished products, in particular textile based products.
  • Provision of information and technical services in the fields of technologies and techniques, testing, application of electronics, computational techniques including pattern making, colorimetry, especially in the fields of knitting technologies and techniques.
  • Testing of machines and devices.
  • Publishing activities of informative character in the field of knitting techniques and technologies.
  • Translation and consulting services and market researches.

The assets of the state-owned enterprise were assessed at 31,238,000 Czechoslovak crowns.On the basis of a Founding Scheme of VÚP s.p. approved by the Ministry of Industry of the Czech Republic the VÚP joint-stock company was established. This „small“ joint-stock company had a registered capital of 100,000 CzechoslovakCrowns and its 100 percent owner was VÚP s.p., and thus it existed beside the VÚP state-owned enterprise. The date of its establishment and, at the same time, of recording into the Commercial Register was March 20, 1991. The business line was the same as the one of the later „big“ joint-stock company. One share was issued on the registered capital in the name of VÚP s.p. On the basis of the decision of the Ministry of Industry of the CR of March 27, 1991 the VÚP state-owned enterprise was dissolved on March 31,1991 without liquidation, and on the same date the VÚP joint-stock company’s share with a nominal value of 100,000 Czechoslovak crowns was transferred to the Ministry of Industry of the CR as the sole shareholder. The entire property of the dissolved state-owned enterprise with a residual value of 33,904,000 Cz. crowns, including all rights and obligations, was transferred to the VÚP joint-stock company. With this step the transformation of VÚP from a state-owned enterprise to a joint-stock company was completed. VÚP is a joint-stock company at the present time. The actual act of privatisation was carried out in the form of direct sale of shares on the basis of an approved privatisation project.
